Terms of Service

1. Agreement to Terms

Fanerse is a trading name of Imperium Digital Ltd, a company registered in England and Wales (Company No. 16433720) with its registered office at 20 Wenlock Road, London, England, N1 7GU.

By accessing or using Fanerse Studio ("the Service") at fanerse.com, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Fanerse Studio is a platform for creating and managing AI-generated content creators (virtual influencers). The Service includes:

• AI image and video generation
• Creator profile management
• Content organization and scheduling
• Marketplace for exchanging creator templates and configuration assets

3. Account Terms

• You must be at least 18 years old to use this Service.
• You are responsible for maintaining the security of your account and password.
• You are responsible for all activities that occur under your account.
• You must provide accurate and complete information when creating an account.
• One person may not maintain more than one free account.

4. Subscriptions and Payments

4.1 Billing

Paid subscriptions are billed in advance on a monthly basis. Payment is processed securely through Stripe.

4.2 Credits

Credits are used to generate content. Subscription credits reset each billing cycle; unused subscription credits do not carry over. Credit packs purchased separately do not expire and remain available until used. All credits are non-refundable and non-transferable.

4.3 Refunds

Subscription fees are generally non-refundable, except where required by applicable law. If you cancel your subscription, you will retain access until the end of your current billing period.

4.4 UK Consumer Rights

If you are a consumer in the United Kingdom, you have certain rights under the Consumer Rights Act 2015 and Consumer Contracts Regulations 2013:

• You have a 14-day cooling-off period from the date of purchase to cancel and receive a full refund
• However, if you request that the Service begins immediately and you use credits during this period, you agree to lose your right to cancel to the extent of the credits used

4.5 Price Changes

We reserve the right to modify pricing with 30 days notice. Price changes will not affect current billing periods.

5. Acceptable Use & Content Policy

Your use of Fanerse is subject to our Content Policy, which is incorporated into these Terms by reference. Key prohibitions include:

• Generate content depicting real individuals without their consent
• Create any content involving minors
• Generate illegal, defamatory, or harmful content
• Impersonate real people or organizations
• Violate any applicable laws or regulations
• Attempt to reverse engineer or exploit the Service
• Resell or redistribute the Service without authorization
• Use automated systems to access the Service beyond normal use

We reserve the right to terminate accounts that violate these terms or our Content Policy without refund. For full details on prohibited content and enforcement, please review our Content Policy.

6. Content Ownership

6.1 Your Content

You retain ownership of the creators and content you generate using the Service, subject to the licenses granted herein.

6.2 License to Fanerse

By using the Service, you grant Fanerse a non-exclusive, worldwide license to use, store, and process your content as necessary to provide the Service.

6.3 Marketplace Content

When you sell a creator on the Marketplace, you transfer the associated rights to the buyer as specified in the listing terms.

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Fanerse and protected by international copyright, trademark, and other intellectual property laws.

The Fanerse name, logo, and all related names and logos are trademarks of Fanerse.

8. Marketplace Terms

8.1 Marketplace Types

The Fanerse Marketplace consists of two categories:

• Official Store: Creators and assets sold directly by Fanerse
• Community Market: Peer-to-peer sales between users

8.2 Official Store Purchases

Purchases from the Official Store are processed via Stripe and subject to our standard refund policy. These transactions are covered by UK consumer protection laws as outlined in Section 4.4.

8.3 Community Market (Peer-to-Peer)

Transactions between users are processed exclusively via cryptocurrency (stablecoins such as USDT/USDC):

• Platform fee: 20% of sale price
• Seller receives 80% automatically to their connected wallet
• Payouts are instant upon confirmed blockchain transaction
• All peer-to-peer sales are final—cryptocurrency transactions are irreversible

8.4 Seller Requirements

To sell on the Community Market, you must:

• Provide a valid cryptocurrency wallet address
• Have full rights to the content you sell
• Comply with our Content Policy
• Be responsible for applicable taxes on your earnings

8.5 Disputes and Prohibited Conduct

Fanerse is not responsible for disputes between buyers and sellers in the Community Market. Fraudulent listings, misrepresentation, or attempts to circumvent platform fees will result in immediate account termination. For copyright claims, see our Content Policy.

9. AI-Generated Content

You acknowledge and agree that:

• Content generated through Fanerse is created by third-party AI models
• AI outputs may be unpredictable and you are responsible for reviewing all generated content
• You are responsible for how you use, distribute, or monetize generated content
• Fanerse does not guarantee that AI-generated content is free from errors, biases, or unintended outputs
• You must comply with all applicable laws regarding AI-generated content in your jurisdiction

10. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement
• Uninterrupted or error-free operation
• Accuracy or reliability of results

11. Limitation of Liability

To the maximum extent permitted by law, Fanerse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data or content
• Business interruption
• Any other intangible losses

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Fanerse, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Content you create or distribute
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and content
• Unused credits are forfeited
• Provisions that should survive termination will remain in effect

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date.

Continued use of the Service after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
